1. Platform Purpose and Scope

HOA TurnKey ("the Platform") is an AI-powered project guidance tool designed to assist HOA boards, property managers, and association management companies with general project management guidance. The Platform is built on 26 years of real HOA construction and project management experience and is intended for informational and educational purposes only.

The Platform is for general guidance purposes only. It is not a substitute for hiring licensed contractors, engineers, architects, attorneys, or other qualified professionals for your specific project needs.

2. No Cost Estimates or Financial Advice

The Platform does not provide and will never provide cost estimates, budget projections, financial forecasts, dollar amounts, price ranges, or any form of financial guidance for construction or repair projects. All cost-related decisions must be based exclusively on competitive bids obtained from licensed, insured contractors familiar with your specific project scope and local market conditions.

No information provided by the Platform should be interpreted as a cost estimate, budget recommendation, or financial projection, whether explicit or implied. Users acknowledge that construction costs vary dramatically based on location, scope, materials, labor markets, site conditions, and other factors that cannot be assessed through an AI platform.

3. Not a Substitute for Licensed Professionals

The Platform is not a substitute for and does not replace:

• Licensed general contractors or specialty trade contractors
• Licensed professional engineers (PE) or structural engineers
• Licensed architects
• HOA attorneys or legal counsel
• Certified reserve analysts or reserve study professionals
• Licensed insurance professionals
• Building inspectors or code compliance officers
• Certified public accountants or financial advisors

Users must always engage qualified, licensed professionals for project-specific decisions, inspections, designs, legal matters, and financial planning.

4. No Legal Advice

The Platform does not provide legal advice. While the AI may reference general HOA governance practices, the Davis-Stirling Act, CC&Rs, SB 326, SB 800, or other regulations, this information is for general awareness only. All legal questions, disputes, compliance matters, and contractual issues must be reviewed by a qualified HOA attorney licensed in your jurisdiction.

5. No Professional Engineering Advice

The Platform does not provide professional engineering advice. Any discussion of structural issues, building envelope systems, waterproofing, load-bearing elements, or life safety systems is general guidance only. A licensed professional engineer must be consulted for any structural or safety-related project decisions.

6. Limitation of Liability

HOA TurnKey, its owners, operators, employees, and affiliates shall not be held liable for any damages, losses, costs, expenses, claims, or liabilities arising from or related to:

• Decisions made based on information provided by the Platform
• Project outcomes, delays, cost overruns, or defects
• Contractor performance or non-performance
• Regulatory compliance or non-compliance
• Any financial losses related to HOA projects or assessments
• Inaccuracies, omissions, or errors in AI-generated content
• Reliance on Platform-generated documents without professional review

Users assume all risk associated with using the Platform and are solely responsible for verifying all information, recommendations, and documents with qualified professionals before taking any action.

7. AI-Generated Documents

Documents generated by the Platform (including but not limited to RFPs, scopes of work, bid comparisons, contracts, and compliance checklists) are templates and starting points only. All AI-generated documents must be reviewed, customized, and approved by qualified professionals before use. The Platform does not guarantee the legal enforceability, completeness, accuracy, or suitability of any generated document for any specific purpose.

8. User Responsibilities

By using the Platform, you agree that you will:

• Verify all information and recommendations with qualified professionals
• Obtain competitive bids from licensed contractors for all cost decisions
• Consult an HOA attorney for all legal questions and contract review
• Engage licensed engineers for all structural and safety assessments
• Review all AI-generated documents with appropriate professionals before use
• Not rely solely on the Platform for any project-critical decisions
• Maintain appropriate insurance coverage for all projects
• Comply with all applicable local, state, and federal regulations

9. Data Privacy and Confidentiality

The Platform stores conversation history, uploaded documents, and user profile information to improve the AI experience. Uploaded training documents are processed and stored as text chunks in a vector database. The Platform will never share your data with third parties without your consent. You are responsible for ensuring that any documents you upload do not violate confidentiality agreements with third parties.

10. Subscription and Billing

Subscription plans are billed monthly or annually as selected. Free trials last 14 days. You may cancel at any time. Refunds are handled on a case-by-case basis. Continued use after the trial period constitutes acceptance of the applicable subscription fees.

11. Changes to Terms

HOA TurnKey reserves the right to modify these Terms of Service at any time. Users will be notified of material changes via email or in-app notification. Continued use of the Platform after changes are posted constitutes acceptance of the updated terms.
